This includes all software and related materials, including but not limited to electronic files and printed documentation. ----------------------------------------------------------------------------- This PRODUCT is licensed to you by Micro-Sys(tm) under the terms of this License Agreement. Visit our company website at https://www.microsystools.com ----------------------------------------------------------------------------- -- License Agreement -- 1) General: You are granted non-exclusive rights to use the PRODUCT as set forth in this license provided you agree to and comply with all conditions in the license. You are granted non-exclusive rights to use the PRODUCT as set forth in this license provided you agree to and comply with all conditions in the license. This Agreement shall be governed by and construed in accordance with the laws of Denmark, excluding its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Denmark. If you are a consumer, mandatory provisions of the law of your country of residence remain unaffected. By installing, copying, or using the PRODUCT, you agree to be bound by this License Agreement. If you do not agree, do not install or use the PRODUCT. This PRODUCT is "trialware". This means that you, as a user, get 30 days to test the PRODUCT before deciding if you want to buy a "registered license" for it. When the 30 days testing period has expired, you must discontinue any further use of the PRODUCT except if you buy it or if the PRODUCT contains and switches to a "free mode" with reduced functionality. Any continued use of the PRODUCT after the trial period without a valid license is outside the scope of the license granted under this Agreement and constitutes unauthorized use and a violation of applicable copyright laws. The PRODUCT may occasionally access the internet to check for updates, help users report errors and check against a list of revoked licenses. For licenses that are subscription-based, the software may transmit a license ID to our servers to verify subscription status and validity as necessary for the performance of the license agreement. Except as set forth herein, you may not rent, lease, or sublicense the PRODUCT. You may not embed or componentize the PRODUCT and make it available for use by third parties. You are very welcome and in fact even encouraged to distribute the complete and unchanged unregistered PRODUCT package - even on medias such as CD-ROM and DVD publishings, BBSes, and download-sites on the Internet. You may not publish, distribute, or make available any serial or license keys, or any files or methods that unlock the PRODUCT from its unregistered state. This includes, but is not limited to, publishing serial or license keys on internet sites. Any such action constitutes a material breach of this Agreement and results in immediate termination of the associated license and serial/license key. You are not allowed to sell any original or modified versions of the PRODUCT without explicit and continued consent by Micro-Sys. 2) Legally registered versions: Having "X" number of licenses means that the PRODUCT can be used by "X" "USERS". The "X" refers to any given number of licenses (e.g. in the above paragraph you could replace "X" with 10). The PRODUCT can also only be started and running on "X" number of computers simultaneously. Formally, each license must belong to a person, company, or organization. We define that as a "LICENSE-HOLDER" in this document from now on. A "LICENSE-HOLDER" can assign the usage rights of each license to a person within the company or organisation. We define this person as the "USER". If the "LICENSE-HOLDER" is a person the "USER" can be the same person. There can never be multiple "USERS" assigned to the same PRODUCT license. However, the "LICENSE-HOLDER" can transfer the usage rights to another person in case the former "USER" leaves, changes job position or similar. The usage rights can not be reassigned more than once per month. 3) Disclaimer: This PRODUCT is NOT intended for use in or in conjunction with life-critical or mission-critical systems. The PRODUCT is provided "as is" without warranty of any kind, either express or implied, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose. In no event shall Micro-Sys, the copyright holder, developers, or any other party involved in the ownership, creation, or delivery of this PRODUCT be liable for any indirect, incidental, consequential, or special damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the PRODUCT, even if advised of the possibility of such damages. Micro-Sys’ total liability under this Agreement shall not exceed the amount actually paid for the applicable license(s). Nothing in this Agreement excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law. |
